1. Call to Order/Welcome

The Chair, Larry M. Capstick, called the meeting to order at 4:10 p.m. He extended a welcome to new Council member, Lou Watson, who replaced Solette Gelberg.

It was noted that Steering was comprised of Marilyn Laframboise and Diane Leblovic.

It was moved by Steering, and

That the revised Agenda for the February 6, 2003 Special Meeting of Council be approved.

3.Business

3.1 Appointment of Registrar and Chief Executive Officer

It was moved by Steering, and

CARRIED UNANIMOUSLY,

That Council move into an in camera session, those present to include members of Council, the Registrar and designated staff.

Council moved into an in camera session at 4:15 p.m.

Staff left the room at 4:15 p.m. with the exception of the Executive Co-ordinator, Richard Lewko, and the recording secretary, Myrtle Herzenberg.

Council moved out of the in camera session at 4:45 p.m.

The Chair reported that the following motion had been passed during the in camera session:

That Council appoint W. Douglas Wilson as Registrar and Chief Executive Officer of the Ontario College of Teachers effective March, 31, 2003.

The Chair requested that this appointment be kept confidential until such time as the Chair of the Selection Committee had contacted the other candidates and the press release had been issued.

3.2 Ontario College of Teachers Foundation (GC20030206-3)

Richard Lewko, Executive Co-ordinator, spoke to the report. A question and answer period followed.

It was moved by Steering, and

CARRIED,

That Council approve the following:

1. In accordance with paragraph 33 of subsection 41(1) of the Ontario College of Teachers Act, the Ontario College of Teachers establish a charitable foundation, the purpose of which is to recognize and support excellence in teacher education through:

   1. the awarding of scholarships, bursaries and prizes to assist in the education of teachers or those wishing to become teachers.

2. The charity be named the “Ontario College of Teachers Foundation”.

3. The charity be incorporated federally to expedite the process of registration and enable it to collect donations from other provinces.

4. The charity be registered as a charitable organization.

5. The bylaws of the Ontario College of Teachers be amended by the addition of the following section:

Section 37 — The Ontario College of Teachers Foundation

37.01 The “Ontario College of Teachers Foundation” shall be established as a charitable organization for the purposes of recognizing and supporting excellence in teacher education.

37.02 The Ontario College of Teachers Foundation may:

(a) award scholarships, bursaries and prizes to assist in the education of teachers or persons wishing to become teachers.

37.03(a) The Ontario College of Teachers Foundation shall be a corporation without share capital and shall be governed by a board of directors, which shall manage and administer its affairs.

37.03(b) The board of directors shall be appointed by the Council of the Ontario College of Teachers and shall be comprised of the Registrar and the members of the Ontario College of Teachers’ Executive Committee.

37.03(c) The terms of office of the board of directors shall expire when the terms of office of the Council Members expire.

37.03(d) The Deputy Registrar shall be appointed by the Council of the Ontario College of Teachers to act as the executive director of the Ontario College of Teachers Foundation.

That Council establish an annual Joseph W. Atkinson scholarship for excellence in teacher education beginning with a candidate pursuing a degree in 2003-2004 to be administered by the Ontario College of Teachers Foundation.
