1. Call to Order and Welcome

The Chair, Donna Marie Kennedy, called the meeting to order at 4:00 p.m.

2.Approval of Agenda (GC19980427-35)

It was moved by John Cruickshank, seconded by Kathleen McFadyen, and

CARRIED,

That Council approve the Agenda for the April 27, 1998 Special Meeting of the Council of the Ontario College of Teachers.

3.1.1 Finance Committee (GC19980427-36)

The Chair of the Finance Committee, Paul Charron, briefly addressed the meeting. During discussion Bryan Graham, Coopers & Lybrand, advised that it was not a requirement that the Audit Findings be published in the audited accounts. It was agreed to consider the Audit Findings at the May meeting of the Council.

3.1.1 Audited Financial Statements for the year ended December 31, 1997. (GC19980427-36)

It was moved by John Cruickshank, seconded by Kathleen McFadyen, and

CARRIED,

That Council approve the Audited Financial Statements of the Ontario College of Teachers for the year ended December 31, 1997.

Recorded Vote:

3.1.2 Appointment of Auditor (GC19980427-37)

Bryan Graham left the meeting whilst this matter was discussed.

It was moved by Kathleen McFadyen, seconded by John Cruickshank, and

CARRIED,

That Council appoint Coopers & Lybrand as Auditor for the Ontario College of Teachers for the 1998 fiscal year.

3.2 Annual Report (GC19980427-38)

Copies of the Registrar's Message were circulated Council Members prior to the meeting (GC19980427-67). During discussion it was noted that a report on the Human Resources Advisory Subcommittee would be included in the Executive Committee Report. It was agreed that there would be consistency in the method in which the composition of all committees would be recorded in the Annual Report.

It was moved by Kathleen McFadyen, seconded by John Cruickshank, and

CARRIED,

That Council approve the 1997 Annual Report of the Ontario College of Teachers, with additions.

3.3 Annual Meeting

The Registrar reported briefly on preparations for the forthcoming Annual Meeting of Members.

4. Next Meeting

The next meeting of the Council of the Ontario College of Teachers, the Annual Meeting of the Council was scheduled for 9.00 am on Thursday May 28 and Friday May 29, 1998.

5. Adjournment

The meeting adjourned at 4.55pm.
